By accessing or using BillZilla ("the Service"), a billing and invoicing software platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. This Agreement constitutes a legally binding contract between you ("User", "you", or "your") and BillZilla ("we", "us", or "our").
BillZilla is a cloud-based billing and invoicing software solution designed to help businesses manage their invoicing, billing, inventory, and related financial operations. The Service includes but is not limited to:
3.1 Account Creation: To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security: You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
3.3 Account Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts under Indian law to use this Service.
4.1 Subscription Plans: BillZilla offers various subscription plans with different features and pricing. All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes.
4.2 Payment: Subscription fees are payable in advance as per the selected plan. Payments can be made through authorized payment gateways. All payments are non-refundable except as required by applicable Indian law.
4.3 GST and Taxes: All prices are exclusive of Goods and Services Tax (GST) and other applicable taxes as per Indian tax laws. You are responsible for paying all applicable taxes.
4.4 Billing: We will provide you with invoices for all charges. Invoices will be generated in compliance with the Goods and Services Tax Act, 2017 and other applicable Indian tax regulations.
4.5 Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel your subscription before the renewal date.
5.1 Permitted Use: You may use the Service solely for lawful business purposes in accordance with these Terms and applicable Indian laws and regulations.
5.2 Prohibited Activities: You agree not to:
6.1 Data Ownership: You retain all ownership rights to your data uploaded to the Service. We do not claim ownership of your data.
6.2 Data Storage: Your data is stored on secure servers. We implement reasonable security measures to protect your data, but we cannot guarantee absolute security.
6.3 Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which complies with the Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
6.4 Data Backup: While we maintain regular backups, you are responsible for maintaining your own backups of critical data.
6.5 Data Deletion: Upon termination of your account, we will retain your data for a period as required by Indian law, after which it may be permanently deleted.
7.1 Tax Calculations: BillZilla provides tools to calculate GST and other taxes based on the information you provide. However, you are solely responsible for ensuring the accuracy of tax calculations and compliance with all applicable tax laws.
7.2 GST Registration: You are responsible for maintaining valid GST registration and providing accurate GST details. We are not responsible for any penalties or liabilities arising from incorrect GST information.
7.3 Tax Returns: While BillZilla may assist in generating tax reports, you are responsible for filing your tax returns and ensuring compliance with all tax obligations under Indian law.
7.4 Tax Advice: BillZilla does not provide tax, legal, or accounting advice. You should consult with qualified professionals for such advice.
8.1 Service Ownership: All intellectual property rights in the Service, including but not limited to software, designs, logos, and trademarks, are owned by BillZilla or its licensors.
8.2 License: We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription period.
8.3 Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
9.1 Availability: We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances.
9.2 Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
10.1 Termination by You: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.
10.2 Termination by Us: We may suspend or terminate your account immediately if you violate these Terms or engage in fraudulent or illegal activities.
10.3 Effect of Termination: Upon termination, your right to use the Service will cease immediately. You may export your data before termination, subject to applicable fees.
You agree to indemnify, defend, and hold harmless BillZilla, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
12.2 Jurisdiction: Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in [Your City], India.
12.3 Dispute Resolution: In case of any dispute, parties agree to first attempt to resolve it through good faith negotiations. If unsuccessful, disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 2015.
We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
